International Official Rules of the Diesel Loyalty Program "Diesel Cult" 1. SPONSOR OF THE LOYALTY PROGRAM Diesel S.p.A., with registered office in via dell'industria 7 Molvena 36060 (VI) Italy (Diesel), is organising the Loyalty Program named "Diesel Cult" (the Loyalty Program). 2. ELIGIBILITY 2.1 Individuals who are 18 years of age (or who are over the legal age of majority in the appropriate State) or over may apply for membership. 2.2 A member of the Loyalty Program is any individual who registers by using the online registration procedure at www.diesel.com (the Member). 3. DURATION OF THE PROGRAM 3.1 The Program starts on 1 September 2006 and ends on ["]. 3.2 On expiration, the Loyalty Program is automatically renewed for subsequent periods of ["] years, unless Diesel communicates, at least ["] months before the expiry of a period, of its intention to terminate the Loyalty Program. 4. PASSWORD AND CARD The Members are provided with a username and password to access the private area of the website www.diesel.com dedicated to the Loyalty Program (the Passwords). 5. BENEFITS 5.1 The Members have access to the private area of the website www.diesel.com dedicated to the Loyalty Program and are entitled to enjoy the web benefits granted to Members therein (the Web Benefits). 5.2 In particular, the Web Benefits include a personalised welcome, free music downloads, news from the "Diesel Planet" (both local and international news), invitations to Diesel "Box Office", shows, parties and to Diesel Marketing activities, chat rooms, and free desktop/mobile phone content downloads. 6. DIESEL'S VARIATION OF TERMS AND CONDITIONS 6.1 Diesel reserves the right at all times to make any changes to these Official Rules subject to giving Members reasonable notice as appropriate in the circumstances. Members who do not accept the amendments may terminate their Membership as described in Clause 8. 6.2 Diesel reserves the right at all times to discontinue the Web Benefit, subject to giving Members reasonable notice as appropriate in the circumstances. 7. NON TRANSFERABILITY 7.1 The Password cannot be transferred. 7.2 Members shall immediately report a lost or stolen Password upon discovery to the following e-mail address ["]. Diesel is not responsible for the use of a lost or stolen card until it is reported. 8. MEMBERS' RIGHT TO TERMINATE MEMBERSHIP Members may terminate their Membership by writing and e-mail to ["]. 9. DIESEL'S RIGHT TO TERMINATE MEMBERSHIP In addition to any other rights or remedies it may have, Diesel reserves the right at any time in its absolute discretion to terminate the membership of any Member and/or the right of any Member to use the Password if a Member commits any fraud or misconduct in connection with the Loyalty Program or the Web Benefits. Diesel will write to such Member stating their Membership is being terminated for this reason. 10. EXCLUSION OF LIABILITY 10.1 Diesel is not responsible for any problems or technical difficulties associated with the exploitation by Members of the Web Benefits, and for any damage or loss connected with the exploitation of the Web Benefits. 10.2 Diesel will not be liable or have any responsibility for any loss or damage (including, without limitation, incidental and consequential damage, loss of profits, or damage resulting from loss of data or business interruption) resulting from the exploitation of or inability to access to the Web Benefits. Members must install an anti-virus and firewall before accessing the website www.diesel.com to enjoy the Web Benefits. 10.3 Diesel will not be liable for any loss resulting from alteration to, or termination of the Loyalty Program, or any of the Web Benefits. 10.4 Members are responsible for the security of their Passwords and Diesel accepts no liability in the event that a Member's logon and/or Password is disclosed by the Member, whether intentionally or not, so as to allow a third person online access to the Web Benefits. Diesel reserves the right to block online access to the Web Benefits by or through any third party website not authorised by Diesel. 11 INTELLECTUAL PROPERTY RIGHTS 11.1 Diesel does not transfer title of any content downloaded or used by users in connection with the Loyalty Program. The Loyalty Program and any intellectual property connected thereto are owned by Diesel or Diesel affiliates and/or their content and technology providers and are protected by copyright and other laws. 11.2 The contents such as (but not limited to) free music downloads and free desktop/mobile phone content provided in the framework of the Web Benefits (the Proprietary Contents) are the property of their respective trademark, design, copyright and neighbouring right holders. The Proprietary Contents are protected by the law and may only be downloaded by the Members' for their private use. No part of the Proprietary Contents may be reproduced, modified, disseminated, published, assigned, modified in any form or by any means by the Members. 12. DATA PROTECTION 12.1 As stated in the information statement provided to the Members when registering, Diesel and its affiliates will process the Members' personal data in performing the obligations and the rights resulting from the Loyalty Program, and in order to comply with any obligation set forth by the applicable laws only, unless the Members grant Diesel express consent to process their personal data for further purposes (e.g. direct marketing). 12.2 The data will be stored in Diesel's servers located in the United States of America and processed by either electronic or non-electronic means for the abovesaid purposes, in compliance with the rules of privacy and security set forth in the applicable laws (a data processing agreements has been concluded for this purpose in accordance with EU standard contractual clauses). Members are informed and expressly consent to export of their personal data to the United States of America in the process of registering for the Loyalty Program. For the same purposes, Diesel may communicate the Member's personal data to entities performing consultancy or advisory activities for it, who will act as Diesel's data processors. The Members' personal data will not be otherwise communicated nor disseminated and will be erased when no longer necessary for the purpose for which they were gathered. 12.3 By applying to Diesel Members will have at any time the right to exercise the faculties recognised to them by the applicable law, and namely the right to be informed of existence, content, source, purposes and methods of the processing of the personal data, and the right to obtain access, updating, rectification, integration of the data, and (when allowed by the law) their deletion. 12.4. The personal data will be processed for a period of time not exceeding the period of membership of the Member (unless the law requires the Personal Data to be stored for a longer period of time). 13. GOVERNING LAW 13.1 These Official Rules and the relationship between the parties shall be governed by, and interpreted in accordance with, the laws of Italy. 13.2 Any term or provision of this Official Rules which is invalid or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such invalidity or unenforceability without rendering invalid or unenforceable the remaining terms and provisions of this Official Rules or affecting the validity or enforceability of any of the terms or provisions hereof in any other jurisdiction. 14. BINDING RULES These Official Rules are available at Diesel's registered office and on Diesel's website. By entering the Program, any Member agrees to be bound by these Official Rules. _________________ Having carefully considered the Official Rules ? In connection with the Loyalty Program, Diesel S.p.A. (hereinafter Diesel) will collect and process, as a data controller, certain personal information relating to the Members. The personal data which is processed by Diesel in connection with Members may include personal data supplied by the Members (i.e. personal details such as your name, surname, home address, country, sex, telephone numbers, date of birth, e-mail address) and data collected when the Members are provided with the Online Service or are otherwise in contact with Diesel (i.e. amount of Diesel product purchased) (hereinafter the Personal Data). The Personal data will be stored in Diesel's servers located in the United States of America (a data processing agreements has been concluded for this purpose in accordance with EU standard contractual clauses) and processed (by either electronic or non-electronic means) for the purpose of implementing, managing and administering the Loyalty Program, to conduct statistical market research (by the means of anonimised data), and in order to comply with any obligation set forth by the applicable law. In particular, your e-mail address will be used to send you communication keeping you informed about your membership benefits and entitlements. The express consent to receive marketing and market research communications and to allow Diesel and its affiliated to carry out other marketing and market research analysis on the Personal Data may be given by the Member at the time of enrolment or subsequently. Where consent is given it may be withdrawn by the Member by calling the following number: [?]; or sending an e-mail to: [?]. Communication of Personal Data. For the abovesaid purposes only, Diesel may communicate the Personal Data to entities performing consultancy or advisory activities for it and to its affiliate companies, either in United Kingdom and abroad within the EU for performing functions on its behalf in connection with the Loyalty Program (such as fulfilling orders, delivering packages, sending postal mail and e-mails, providing marketing assistance, processing credit card payments and providing customer services). Such companies will have access to Personal Data needed to perform these functions (but may not use it for any other purpose), are required to process the data in accordance with applicable law, are appointed data processor on behalf of Diesel and will be listed on a update list available by calling the following number: [?]; or sending an e-mail to: [?]. The Personal Data will then be processed only by persons in charge appointed by Diesel, and notably by Diesel's employees (also employed to Diesel's branches and affiliates). Time of processing. The Personal Data will be processed for a period of time not exceeding the period of membership of the Member and in any event for a period of time not exceeding three months from the date in which a Member has withdrawn from the Program (unless the law requires the Personal Data to be stored for a longer period of time). Cookies. Certain pages of the Diesel's website providing the Online Service may employ an industry-wide technology called "cookies". The "cookies" are small pieces of data that are placed on your hard disk drive when you access a certain part of a website. Cookies help Diesel understand which parts of its websites are the most popular, where Diesel visitors are going, and how much time they spend there in order to help you by customizing your internet settings. The tracking records are performed and maintained in ways that keep the data non-identifiable. For the purpose of surveys we may combine cookie or other data with your answers but we will ensure that this does not affect the anonymity of the results. If you do not wish to accept cookies, they can be disabled by referring to your browser manufacturer's instructions. Exercising the right granted by the data protection law. You may, at any time, exercise the rights recognized to you by the law, namely the right to be informed about the existence, content, source, purposes and methods of processing the Personal Data, and the right to obtain updates, rectification, integration and (when allowed by the law) erasure of the Personal Data. You will not receive direct marketing from companies outside the Diesel group. You can sign up for direct marketing by ticking the "I expressly agree" box hereafter. If you would like us to stop sending direct marketing to you, we offer simple ways to do this. Whenever you receive direct marketing you will be told how to unsubscribe.
